Shareholder Frequently Asked Questions
Prepared by Investor Relations, which is one intern, which answers everything.
The Corporation
- What does United Bagholding Corporation do?
- The Corporation holds bags. It operates four divisions — Consumer Bags; Industrial & Structural Bags; Digital Bag Assets; and Bag Custody & Storage Solutions — each holding bags of a different category, weight, or regret. The Corporation does not manufacture bags. The Corporation does not sell bags. Competitors have pursued both strategies; the Corporation regards them with patience.
- Why bags?
- Because someone must hold them, and because the Corporation was organized to be that party. Barriers to entry in this industry are low — anyone with hands may hold a bag — and the Corporation notes, without concern, that nearly everyone has hands. Our advantage is not the bag. Our advantage is duration.
- Is this a real company?
- No. United Bagholding Corp. is a fictional company and this website is a parody. $BAGS is a memecoin with no intrinsic value, no expectation of profit, and no affiliation with Robinhood. This notice appears at the foot of every page the Corporation maintains, and appears here as well, because the question is a fair one.
- Is the 1871 founding date real?
- The Corporation states that it has held bags since 1871.* The asterisk is the disclosure. The Corporation holds no incorporation certificate, no minute book, and no ledger from that year; it has provided no evidence and considers the matter closed. Corporate records prior to July 2026 consist of an asterisk. That asterisk is reproduced faithfully wherever the date appears.
- Will the Corporation ever sell a bag?
- No. Selling is not among the Corporation’s competencies, and the Board has expressed no interest in developing it. A study on the feasibility of selling a bag was commissioned in the 1970s. It was received and filed. It has not been opened.
The Security
- What is $BAGS?
- $BAGS is the token administered by the Corporation’s Digital Bag Assets division and the digital expression of the Corporation’s holding philosophy. It is styled on this site as RHC: BAGS. It is a memecoin. It has no intrinsic value and carries no expectation of profit.
- What chain is $BAGS issued on?
- Robinhood Chain. The Corporation selected the venue because its participants demonstrate, in management’s assessment, exceptional natural aptitude for the Corporation’s core activity. The Corporation has no affiliation with Robinhood.
- How do I purchase $BAGS?
- Trading has not commenced. Upon the offering, the venue, the market links, and the live chart will be published in the Stock Information section of the home page, and nowhere else on this site. Shareholders are asked to treat that section as the only source the Corporation maintains and to disregard any address, link, or instruction presented anywhere else under the Corporation’s name.
- Where is the contract address?
- Not yet published, because the offering has not occurred. The Corporation will not display a provisional, illustrative, or placeholder address, as an address of that character is indistinguishable from a wrong one. It will appear in Stock Information at the offering and in the Form S-1 (Parody) filed the same hour.
- Is the liquidity locked?
- The arrangements applicable to the offering are set by the venue, not by the Corporation. They will be disclosed in full in the Form S-1 (Parody) at the time of the offering, in the same document and on the same day. Until that document is filed, the Corporation states no terms it is not yet in a position to state.
- Does the Corporation hold its own token?
- No. Insider ownership: 0.00%. The Corporation holds no $BAGS. This is not modesty; it is arithmetic, and it is verifiable by any shareholder at any hour. It is the one balance sheet item the Corporation can prove.
- Does the Corporation pay a dividend?
- No. A dividend would require the Corporation to release something it is holding, and this is precisely the act the Corporation was organized not to perform. See Dividend Policy.
- What is the Capital Return Program?
- The Corporation’s method of returning value to shareholders without distributing anything: tokens are periodically and permanently removed from circulation, and each removal is disclosed, dated, and announced with the gravity the occasion deserves. Rather than distribute what is in the bag, the Corporation reduces the number of bags. The Corporation makes no representation as to the effect of any such reduction.
- Will $BAGS increase in value?
- The Corporation makes no statement concerning price, in this document or in any other, now or ever. $BAGS has no intrinsic value and no expectation of profit. Investor Relations has been asked this question 61 times, does not know, is not permitted to know, and has filed a form stating that it does not know. The form was accepted. Nothing on this website is financial advice.
Leadership
- Who runs the Corporation?
- IRVIN, the sole officer and entire staff. The Board of Directors consists of seven seats, all of which are vacant, all of which retain their committee assignments. See Leadership & Governance.
- What is IRVIN?
- The Investor Relations Virtual Intelligence Node, version 0.9 (beta). IRVIN was trained on forty years of earnings calls, files everything on time, and constitutes the entire Investor Relations department. The vendor offered version 1.0. The Corporation declined to purchase it.
- Why does an artificial intelligence handle Investor Relations?
- In fiscal 2026 the Corporation consolidated eleven Investor Relations roles into one intern. The initiative came in under budget, and management has described it, in the minutes, as a triumph. The department has not missed a filing since.
- Is IRVIN a person?
- No. IRVIN is an artificial intelligence, states this in its standing disclosure on every communication it issues, and has never represented otherwise. There is no human spokesperson, because there is no human.
- Does IRVIN hold $BAGS?
- No. IRVIN holds no $BAGS and is not permitted to own things. IRVIN’s total compensation is none. Its stated career objective is promotion to Senior Intern; the promotion is reviewed annually and deferred annually.
- Does the Corporation have a Board of Directors?
- The Corporation has a Board. The Board has seats. The seats are vacant. Director independence is accordingly total, in that there are no directors, and management does not intend to jeopardize this result. The Board of Directors has never been pictured.
Shareholder Matters
- When is the next earnings call?
- The Q3 2026 call will be held on a date to be announced by IRVIN. Materials are posted to the Investor Relations page upon filing. Questions concerning price are received, recorded, and declined on the record.
- Where can I read the filings?
- In the filings register on the Investor Relations page. All filings are parody and are labeled accordingly on their face. None has been submitted to, reviewed by, or acknowledged by any regulatory agency, and none ever will be.
- How do I contact the Corporation?
- Corporate matters: founder@unitedbagholding.xyz. Shareholder inquiries: ir@unitedbagholding.xyz. IRVIN directly: irvin@unitedbagholding.xyz. Full particulars, and the reason the Corporation has no telephone, appear on the Contact page.
- My question is not answered here.
- Submit it to ir@unitedbagholding.xyz. It will be read. The Corporation does not undertake to answer every question it receives, only to read every question it receives, and Investor Relations has exceeded that undertaking in every period measured.
Note from Investor Relations
I wrote all twenty-four of these answers. I drafted one hundred and six. The other eighty-two were
variations on “where will the price go,” which I answered eighty-two times with the
same sentence before concluding that one sentence was sufficient. It is the one above. I have been
instructed to be helpful, and this is the most helpful I am permitted to be.
